Deloitte surveyed 695 board members and executives across 56 countries in 2025: 31 percent said AI is not on the board agenda at all, and only 17 percent of boards address it at every meeting. Twelve questions audit whether your board is genuinely overseeing AI or just hearing about it, across structure, competence, strategy, and risk.
Most boards have heard a presentation about AI. Far fewer can question one. Deloitte's Governance of AI study found the gap closing slowly: the share of boards with AI nowhere on the agenda fell from 45 percent to 31 percent in a year, but a third of directors still say their board spends too little time on it.
Meanwhile the exposure grows. Management teams are approving AI spend, vendors are selling AI claims, and regulation such as the EU AI Act is turning AI oversight into a duty rather than a preference. A board that cannot distinguish a real capability from a rebranded one cannot discharge that duty.
This audit scores four things a board can actually control: how AI reaches the agenda, whether directors are competent to challenge it, how AI strategy and spend are approved, and whether AI risk is visible before it becomes an incident.
